$NOW leveraged up 5x in 60 days with zero debt covenants, did anyone else catch this?

Key insights

  • ServiceNow increased its debt load significantly to fund the Armis Security acquisition, issuing $4B in bonds with minimal covenant protection. The lack of financial maintenance covenants and outstanding commercial paper introduces refinancing and liquidity risks. The 30-year bond suggests a long-term strategic view of Armis. This increased leverage and potential risks could negatively impact ServiceNow's stock.

Hey folks,

I'm trying to improve my discovery process and have been looking at how people find ideas. Most people seem to start with filings. Since there are lots of filings a day, I decided to automate some steps and created a pipeline that uses different agents (one only uses information from the filing the other uses live market data) to analyze a filing as soon as it's made public.

I had some feedback on my output but wanted to get a second opinion here in case I'm missing something.

This analysis is from $NOW's 424B2 filing from a few days ago but thought it'd be a great one to hear people's thoughts.

This is not financial advice of course:

$NOW — ServiceNow | 424B2 Prospectus Supplement | May 13, 2026

Headline: ServiceNow has leveraged itself 5x in under 60 days to fund a $7.8B cybersecurity acquisition, issuing $4B in senior unsecured bonds with minimal covenant protection and no clear path to de-leverage, creating material refinancing risk if growth falters.

From the filing:

- Debt load exploded from $1.5B to $7.7B in two months driven by the $7.8B all-cash Armis Security acquisition, fundamentally altering the capital structure and interest expense profile

- The indenture contains zero financial maintenance covenants — no protection against further leverage, dividend payments, share buybacks, or additional unsecured debt issuance

- $2.1B in commercial paper remains outstanding and unaddressed — bond proceeds retire only the term loan; if credit conditions tighten, rolling this short-term paper becomes a near-term liquidity risk

- 30-year 6.3% coupon on $750M tranche signals management views Armis as a multi-decade strategic asset — Par Call Date set November 2055, effectively locking in this rate with minimal refinancing flexibility

- Structural underwriter conflict — affiliates are both lenders being repaid from proceeds and bond marketers, with one affiliate simultaneously serving as indenture trustee

From live market data:

- Stock trading near the bottom of its 52-week range despite retaining 50-101x P/E — market still pricing it as a high-growth SaaS name despite the leverage increase

- Morningstar rates NOW at 132% above estimated fair value — material downside if growth assumptions reset

- Bank of America reinstated coverage positioning it as an AI beneficiary — analyst support intact but thesis dependent on Armis integration

Bottom line: ServiceNow retains strong operational momentum but the speed and scale of the leverage increase — 5x in two months, zero financial maintenance covenants, $2.1B in commercial paper still outstanding — creates material refinancing and execution risk. No margin for error if Armis integration slips or macro conditions tighten credit availability.

Posture: WATCH — monitor Q2 and Q3 2026 earnings for Armis run-rate revenue and management de-leverage timeline. Any confirmed slowdown in subscription growth or negative rating change flips this to AVOID.

My personal opinion from this is ServiceNow seems to see AI as a threat to their business and are acquiring business to create a more defensible product or business model. It's a gamble and they hope if it pays off they'll be able to repay the debt they are incurring. Curious to hear what people think.
