OIO Group announced its board approved a 1-for-3 reverse stock split effective April 24, 2026, at 12:01 a.m. Eastern Time. The reverse split will occur prior to the company’s business combination with De Tomaso Automobili Holdings Limited and the start of trading on The Nasdaq Capital Market under the symbol "OIO."

Under the reverse split, every three outstanding ordinary shares will be combined into one share. Fractional entitlements will be rounded up to the nearest whole share. The company’s shares are expected to begin trading on a split-adjusted basis on April 24, 2026, with the post-split CUSIP number G3R95P124.

The reverse split aims to support compliance with Nasdaq’s minimum bid price requirement under Listing Rule 5550(a)(2). The action will proportionately reduce the number of issued and outstanding ordinary shares and will apply to the company’s outstanding equity awards and convertible securities.
