- S&P Global Ratings revised Boston Scientific's outlook to negative from stable, citing deepening commercial headwinds in its core product franchises and the financial leverage from its pending acquisition of Penumbra. The rating agency expects revenue growth to decelerate significantly due to setbacks in the WATCHMAN and electrophysiology businesses, which are facing clinical friction and increased competition from rivals like Abbott, Medtronic, and Johnson & Johnson. Adjusted leverage is projected to jump post-acquisition, remaining elevated for at least two years.

Investing.com -- S&P Global Ratings has revised its outlook on Boston Scientific Corp. to negative from stable, warning that deepening commercial headwinds across its core product franchises will likely keep financial leverage stretched through 2028. While the rating agency affirmed the medical device maker’s ’A-’ issuer credit rating and senior unsecured debt rating, S&P highlighted that deteriorating top-line momentum coincides with the balance-sheet burden of its pending $14.5 billion acquisition of Penumbra Inc.
The rating agency expects Boston Scientific’s revenue trajectory to decelerate sharply to 4.4% in 2026 and 9% in 2027, a steep drop from the mid- to high-teens expansions delivered over the prior two years. According to S&P, this slowdown follows weaker-than-anticipated third-quarter results and subsequent guidance cuts driven by setbacks in the WATCHMAN and electrophysiology franchises, which together account for more than a quarter of total corporate sales.
Clinical friction and heightened market rivalry have combined to undercut Boston Scientific’s primary expansion engines. S&P underscored that procedure volumes for the WATCHMAN left atrial appendage closure franchise, which represents roughly 10% of revenue, have fallen following ambiguous clinical trial data released earlier this year, while the electrophysiology business is actively yielding share to competing platforms from Abbott, Medtronic, and Johnson & Johnson.
Against that backdrop, Boston Scientific faces a prolonged deleveraging window once the $14.5 billion transaction for Penumbra closes in early 2027. S&P Global Ratings projects that adjusted leverage will jump past 3.6x upon closing, significantly exceeding the agency’s 2.5x downside trigger and remaining elevated for at least two years despite a planned $500 million restructuring program intended to cushion margins through 2029.
Stabilizing credit metrics will require management to balance required commercial reinvestment against disciplined capital allocation. S&P Global Ratings cautioned that bringing adjusted leverage back below the 2.5x threshold by late 2028 hinges entirely on successfully integrating Penumbra, arresting market-share losses in electrophysiology, and curtailing discretionary share buybacks and secondary acquisitions until the balance sheet recovers.
