The livestreaming ecommerce services provider entered into an At-the-Market Issuance Sales Agreement dated October 1, 2026, with D. Boral Capital LLC as sales agent. Under the agreement, the company may sell Class A ordinary shares for an aggregate offering price of up to $100 million at prevailing market prices.

The volume and timing of sales under the program will be determined at the company's discretion. Sales may be made through methods deemed to be an "at the market offering" as defined under Securities Act rules.

Antelope Enterprise said it expects to use proceeds from the offering for general corporate purposes, including working capital, capital expenditures and other business purposes. The company stated the program will diversify its financing channels and strengthen its financial flexibility to support future strategic initiatives and capital activities.

The maximum offering amount will be $100 million or the maximum dollar amount permitted under the company's current shelf registration capacity, whichever is lower. The aggregate number of shares sold cannot exceed the company's authorized but unissued Class A ordinary shares.

Antelope Enterprise provides livestreaming ecommerce services, business management and information systems consulting services in China. The company holds a 51% ownership position in Hainan Kylin Cloud Services Technology Co. Ltd, which operates a livestreaming e-commerce business in China.
