- LiveRamp (RAMP) shares rose after the FTC cleared Publicis Groupe's (PUBP) $2.2 billion acquisition with conditions. The FTC's order requires Publicis to maintain neutral access to LiveRamp's services and establish data firewalls, addressing concerns about anti-competitive practices in digital advertising. Investing.com -- Liveramp Holdings Inc (NYSE: RAMP) shares rose 2% Monday after the Federal Trade Commission approved Publicis Groupe SA's (EPA: PUBP) $2.2 billion acquisition of the company with conditions designed to preserve competition in the digital advertising market.
The FTC issued a consent order requiring Publicis to maintain neutral and nondiscriminatory access to LiveRamp's products and services and establish firewalls to prevent Publicis from accessing LiveRamp's customer data. The regulatory approval removes a key hurdle for the deal, which was announced in May at $38.50 per share.
The FTC's complaint raised concerns that Publicis's acquisition of LiveRamp, which provides data connectivity services for digital advertising, would harm competition in markets for media agency services and audience data services. The agency alleged that the deal would give Publicis the ability to foreclose customers of competing media agencies by leveraging control of LiveRamp to pressure clients to switch their business to Publicis.
Under the proposed order, Publicis and LiveRamp must provide non-discriminatory access to LiveRamp's standalone products and services for five years. The companies are also required to establish firewalls ensuring Publicis cannot access LiveRamp customer data and must appoint an independent auditor to verify compliance.
"By requiring LiveRamp to continue operating as it does today as a neutral platform, this order will ensure that Publicis does not gain an unfair advantage over its competitors in the digital advertising marketplace," said David Shaw, Principal Deputy Director of the FTC's Bureau of Competition.
LiveRamp is the leading data connectivity provider in the U.S. media marketing ecosystem, while Publicis is the largest among the five major advertising agencies in the United States. The public has 30 days to submit comments on the proposed consent agreement.
