Investing.com -- Shares in home security firm ADT soared about 34% to their highest level since December 2022 on Thursday, after the company agreed to be acquired by Josh Kushner’s venture capital firm Thrive Holdings in an all-cash transaction valuing the company at approximately $7.6 billion.
Under the terms of the agreement, ADT stockholders will receive $10.00 per share in cash, representing a 45.6% premium to ADT’s closing share price of $6.87 on October 27, 2026. The deal values ADT at $15.3 billion in enterprise value.
The transaction combines ADT’s security expertise, technology and nationwide network of professionals with Thrive Holdings’ long-term capital and engineering capabilities. Upon completion, ADT will become a privately held company.
"ADT is pleased to enter into this transaction, which recognizes the value built by our more than 12,000 employees and delivers an attractive cash premium to our stockholders," said Jim DeVries, Chairman, President and Chief Executive Officer of ADT.
Thrive Holdings is a permanent capital holding company that owns and operates more than 75 businesses across accounting, IT services and the built environment. Following the closing, ADT will form the foundation of Thrive Holdings’ smart home security business.
Financing commitments for the transaction have been provided by funds managed by affiliates of Apollo Global Management, Inc. Apollo previously took ADT public in a 2018 IPO priced at $14 and divested its remaining stake in May 2026 when the stock was trading around $7.
The transaction is expected to close in the first quarter of 2027, subject to customary closing conditions, including approval by ADT stockholders and receipt of U.S. antitrust approval. The deal is not subject to a financing condition.
ADT’s Board of Directors unanimously approved the agreement.
