Broadcom discloses $43B contingent liability tied to AI rack leases

Broadcom Inc. (AVGO) disclosed that it has arranged for financial partners to assume a portion of agreements to purchase AI racks based on custom AI accelerators it designed, along with related lease agreements with an unnamed customer.

As part of the arrangement, Broadcom is providing residual value support through a newly formed special purpose vehicle, referred to as the "Backstop." The company described the Backstop as a contingent liability it believes has a low probability of occurring.

The total Backstop amount increases as AI racks are delivered and deployed, and decreases as the customer meets lease payment obligations. Broadcom’s maximum potential liability under the Backstop, upon full deployment of the AI racks on an undiscounted basis, is approximately $43 billion.

In the event of a lease default, Broadcom’s options to limit exposure include assuming the applicable lease, reselling the AI racks to the seller at a fixed price under certain conditions, or arranging a sale of the racks. The company’s potential liability would equal any difference between 72.5% of outstanding lease amounts owed and the value of the AI racks recovered through asset sale.

The arrangement was made on October 26, 2026, according to the company’s statement.
